VR Lounge, LLC is a virtual reality bar and café d/b/a myWORLD in Atlanta, Georgia where people immerse themselves in virtual worlds of their own creation. You are a sales rep at a virtual reality equipment company called TotallyVR, Inc. VR Lounge, LLC owner Harry Simpson calls you and says he wants to buy 30 TotallyImmersed MAX® virtual reality googles. TotallyVR, Inc. is located at 222 Volusia Avenue, Daytona Beach, FL 32118, (386)123-4567. The TotallyImmersed MAX® virtual reality goggles sell for $2455.00 each which includes taxes and shipping. You negotiate the following terms with Harry and he tells you to draft up the contract and send it over:

 

  • 5% discount off total price for buying 30 TotallyImmersed MAX® goggles
  • Delivery on or before 7/31/2022
  • Payment due within 30 days after date of delivery
  • Delivery Address: 123 Main Street, Atlanta, GA 30329
  • Refunds: Only for damaged or defective products. Buyer has 30 days from date of delivery to request refunds for damaged or defective products.
  • Warranty: Seller warranties goggles for 12 months from date of delivery and will fix or replace defective goggles during that time period.

 

TotallyVR, Inc. in-house counsel Sandy is on vacation and you want to close the deal. You email Sandy and she emails you a contract template along with this message: “Use this template to get started. Add the following clauses: Integration, Choice of Law (Florida), Severability, and Attorney Fees. Send me your draft and I’ll finish it up when I get back.”

 

You took Business Law in college and vaguely remember these clauses. You do a quick internet search and find an article called, “Plain English in Contract Recitals and Boilerplate” by George H. Hathaway. It’s over 20 years old and from Michigan, but you remember that contract law doesn’t change much over time or even from State to State. Besides, it’s got great simplified versions of the clauses you need.

 

Using the contract template and the article by Mr. Hathaway, prepare a contract that incorporates the essential terms of the deal you struck. Make sure to include the clauses Sandy wants you to include. You remember that “templates” aren’t set in stone and you are free to change the language as you see fit so long as it incorporates the terms of the deal.
